All banking operations related to the investment in La SAMIR will be carried out through Bank Al-Maghrib, the only Moroccan bank that complies with the current Basel III regulations on capital movements. Bank Al-Maghrib will receive the banking instruments and the funds required for the development of SONAGRE\u2019s investment plan in La SAMIR. Thanks to this plan, La Samir will renew a large part of its infrastructure and current activities, becoming one of Morocco\u2019s main economic engines and a benchmark in its transition toward a Circular Economy model, while also positioning itself as a key player in the international energy landscape.<\/p>\n<p data-start=\"973\" data-end=\"1302\" data-is-last-node=\"\" data-is-only-node=\"\">Once the final award has been formalized by the Commercial Court of Casablanca, La Samir will adopt a new organizational structure based on a holding company. Each of its subsidiaries will be an essential component of SONAGRE\u2019s strategy in the fields of oil and gas, raw material reutilization, and energy generation and storage.<\/p>\n<div><\/div>\n<h3><strong>Fuel Marketing<\/strong><\/h3>\n<p>Independently from SAMIR\u2019s management, SONAGRE\u2019s Energy and Fossil Fuels Division started their operations on June 1, 2025.<\/p>\n<p>The Division operates, under a four-year concession agreement, from the storage facilities at the Port of Mohammedia, owned by SAMIR. The facilities have 137 storage tanks with a combined capacity of 1.9 million m\u00b3.<\/p>\n<p><strong>SONAGRE\u2019s Energy and Fossil Fuels Division objectives are:<\/strong><\/p>\n<ul>\n<li>To market a minimum of 2 million m\u00b3 per month of all types of fuel from petroleum refining<\/li>\n<li>To import LNG for industrial and domestic consumption, estimated at 300,000 tons per month<\/li>\n<li>To be the sole supplier to SAMIR during the upgrade of the Mohammedia Refinery<\/li>\n<\/ul>\n<p>The Division\u2019s primary sales market, in addition to La SAMIR, will be Africa.<\/p>\n<div><\/div>\n<h3><strong>La SAMIR<\/strong><\/h3>\n<p>The Soci\u00e9t\u00e9 Anonyme Marocaine de l\u2019industrie du Raffinage (SAMIR) was established on January 1, 1959.<\/p>\n<p><strong>La SAMIR, directly or through its subsidiaries and affiliates:<\/strong><\/p>\n<ul>\n<li>Owns the Mohammedia Refinery, the only refinery in Morocco<\/li>\n<li>Controls 28% of the Moroccan butane and propane market, with 12 distribution and filling centres and a terminal in the port of B\u00e9ni Enzar \u2013 Nador<\/li>\n<li>Operates the Sidi Kacem storage center<\/li>\n<li>Operates a network of 69 service stations (9 owned and 60 branded)<\/li>\n<li>Participates in an additional 60% of the Moroccan butane market through the underground facility at the Sidi Larb\u00ed salt mine<\/li>\n<li>Has 1,895,000 m\u00b3 of storage tanks<\/li>\n<\/ul>\n<div><\/div>\n<h3><strong>Mohammedia Refinery<\/strong><\/h3>\n<p>SAMIR\u2019s main asset is the Mohammedia refinery, located 25 km north of Casablanca, on the Atlantic coast. It sits on a plot of more than 330 hectares and is connected to the port of Mohammedia (3 km away), as well as to national railway and highway networks.<\/p>\n<p>The refinery includes:<\/p>\n<ul>\n<li>Four crude oil distillation modules<\/li>\n<li>One lubricants and bitumen module<\/li>\n<li>Refining capacity of 10.25 million tons per year of blended Russian and Middle Eastern crudes<\/li>\n<\/ul>\n<p><strong>Note:<\/strong> Only CDU 4 was upgraded in 2012 to produce products with less than 10 ppm sulfur. The remaining modules were built between 1962 and 1978 and require replacement.<\/p>\n<p><strong>Modernization Plan Includes:<\/strong><\/p>\n<ul>\n<li>Construction of four new refining modules (60 kbpd each, total 240 kbpd)<\/li>\n<li>Upgrading current units, especially CDU 4<\/li>\n<li>Converting the lubricant and bitumen unit into a synthetic lubricant production unit<\/li>\n<li>Increasing storage capacity by 400,000 m\u00b3<\/li>\n<\/ul>\n<p><strong>Port Infrastructure:<\/strong><\/p>\n<ul>\n<li>Two loading\/unloading docks at the port terminal<\/li>\n<li>Four pipelines (42&#8243;, 36&#8243;, 24&#8243;, and 16&#8243;) connecting refinery and terminal<\/li>\n<li>Pumping capacity of 3,000 m\u00b3\/h<\/li>\n<li>Suitable for tankers of 25 kt to 150 kt (Suezmax)<\/li>\n<li>Dedicated berth for 6 kt vessels for lubricants, butane, and other products<\/li>\n<\/ul>\n<div><\/div>\n<h3><strong>SDCC<\/strong><\/h3>\n<p>The Soci\u00e9t\u00e9 de Distribution de Carburants et de Combustibles (SDCC) is fully owned by SAMIR. It operates a service station network and manages fuel purchasing, as well as sales of lubricants and bitumen produced at La SAMIR.<\/p>\n<p><strong>SONAGRE will expand SDCC\u2019s operations by reinforcing the service station network.<\/strong><\/p>\n<div><\/div>\n<h3><strong>Gas to Power<\/strong><\/h3>\n<p>Following Morocco\u2019s National Plan for LNG Development (2014) and Gas Route Plan (2021), SONAGRE will develop Gas to Power and Gas to Industry projects via SAMIR.<\/p>\n<p><strong>The Project Includes:<\/strong><\/p>\n<ul>\n<li>LNG import terminals<\/li>\n<li>Regasification units<\/li>\n<li>Conversion of coal-fired power plants to combined-cycle natural gas plants<\/li>\n<li>400 km gas pipeline<\/li>\n<\/ul>\n<p>The aim is to stabilize the national grid and enable the transition to 100% renewable energy. Combined-cycle plants will provide stability during renewable shortfalls. Furthermore, SONAGRE will invest to increase global renewable energy production to cover, at least, its own energy demands.<\/p>\n<p>SONAGRE&#8217;s energy mix will include all types of renewable energy, primarily offshore wind power.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>Venti et Fluctus Mar de Strog<\/strong><\/p>\n<p>La Samir Power, a new power generation company within the La Samir holding company, will participate in the construction and operation of V&amp;F Mar de STROG Project, consisting of a 2.11 GW wind farm with 141 wind turbines of 15 MW each on floating structures anchored 21 miles off Cape Spartel.<\/p>\n<p>It will have the necessary coastal infrastructure, including at least an electrical substation and a 400KV transmission line to connect the various Sonagre Complexes in the STROG Sea to the grid, as well as their connection to the Moroccan national electricity grid.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>Projects under consideration<\/strong><\/p>\n<p>The Moroccan coast offers one of the highest offshore wind efficiencies in the world, especially in the southern part of the country. Furthermore, the continental slope extends far beyond the usual limits in some of the optimal areas.
